WADDL ORGANIZATION TERMS OF SERVICE

These Organization Terms of Service (“Organization Terms”) govern participation by organizations (“Organization,” “you,” or “your”) in the WADDL platform operated by WADDL LLC (“WADDL,” “we,” “us,” or “our”).

By creating a storefront, submitting content, or otherwise participating in the WADDL platform as an organization, you agree to be bound by these Organization Terms. If you do not agree, you may not participate in the platform.


1. Platform Overview

WADDL provides a verified online storefront platform that enables organizations to sell custom merchandise through print-on-demand production and fulfillment.

WADDL acts as a commerce platform facilitator and retains control over platform infrastructure, vendor relationships, and order processing.


2. Eligibility and Authority

2.1 Authority. You represent and warrant that:

  • You are authorized to act on behalf of the Organization.
  • You have authority to bind the Organization to these Terms.

2.2 Accurate Information.

You agree to provide accurate and complete onboarding information and to keep contact details current.

2.3 Verification.

WADDL reserves the right to request documentation to verify identity, authority, or affiliation at any time.


3. Intellectual Property

3.1 Ownership Representation.

You represent and warrant that the Organization owns or has all necessary rights, licenses, and permissions to use and authorize WADDL to use any logos, trademarks, insignia, artwork, slogans, or other submitted materials (“Organization Content”).

3.2 License to WADDL.

You grant WADDL a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display Organization Content solely for purposes of:

  • Creating merchandise
  • Marketing the storefront
  • Fulfilling orders
  • Promoting the platform

3.3 Indemnification for Content.

You agree to defend, indemnify, and hold harmless WADDL and its officers, members, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

  • Organization Content
  • Alleged intellectual property infringement
  • Misrepresentation of ownership or authority

3.4 Content Removal.

WADDL reserves the right to remove or suspend content or products at its sole discretion if it reasonably believes such content may violate law or third-party rights.


4. Revenue Share

Organizations may elect to participate in WADDL’s Revenue Share Program, which is governed by a separate Revenue Share Addendum.

Participation in the Revenue Share Program is optional and subject to acceptance of the applicable Revenue Share Addendum in effect at the time of enrollment.


5. Platform Operations

5.1 Operational Control.

WADDL retains discretion over:

  • Product sourcing
  • Vendor selection
  • Base pricing structure
  • Production methods
  • Platform policies

5.2 Customer Transactions.

All customer transactions are processed through the WADDL platform. WADDL manages payment processing and fulfillment logistics.

5.3 No Agency Relationship.

WADDL and Organization operate independently. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship.


6. Suspension and Termination

WADDL may suspend or terminate Organization access to the platform at its discretion for:

  • Violation of these Terms
  • Intellectual property concerns
  • Fraudulent activity
  • Legal or reputational risk
  • Platform misuse

Organizations may discontinue participation at any time.

Pending orders will be fulfilled and final revenue share calculated subject to applicable adjustments.


7. Limitation of Liability

To the maximum extent permitted by law:

WADDL’s total liability arising from Organization participation shall not exceed the total revenue share paid to the Organization in the twelve (12) months preceding the claim.

WADDL shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost fundraising opportunities.


8. Indemnification

In addition to Section 3, the Organization agrees to defend, indemnify, and hold harmless WADDL, its affiliates, officers, members, employees, and contractors from and against any claims, demands, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Organization Content
  • Breach of these Terms
  • Misrepresentation of authority
  • Violation of applicable law or regulation
  • The Organization’s fundraising representations or use of revenue share proceeds
  • Internal disputes among members, officers, or affiliates of the Organization
  • Any act or omission of the Organization or its representatives

WADDL reserves the right to assume exclusive control of the defense of any claim subject to indemnification. This section survives termination.


9. Dispute Resolution

9.1 Governing Law.

These Terms are governed by the laws of the Commonwealth of Virginia.

9.2 Arbitration.

Any dispute arising from these Terms shall be resolved through binding arbitration in Virginia. Organizations waive the right to participate in class actions.


10. Modifications

WADDL reserves the right to update these Organization Terms at any time. Continued participation in the platform following updates constitutes acceptance of the revised Terms.
